3. User Eligibility and Registration

To use our services, you must be at least 18 years old and a resident of a country where our services are legally available.

4. Trading Evaluation Process

Our evaluation consists of two phases that must be completed successfully to qualify for a funded account.

• Maintain maximum drawdown limit (10% of starting balance)

• Maintain daily drawdown limit (5% of starting balance)

• No time restrictions for completion

5. Trading Rules and Restrictions

All trading activities must comply with our fair and transparent trading rules. Violations may result in account suspension or termination.

Prohibited Activities:

• Hedging between different brokers/platforms

• Arbitrage trading strategies

• Using expert advisors or automated trading systems

• Trading during news events or high volatility periods

• Opening positions before market close on Friday

• Exploiting platform errors or system weaknesses

Violation of trading rules will result in immediate account termination and forfeiture of profits.

6. Payment Terms and Refunds

Challenge fees are required to access evaluation accounts and are non-refundable once trading begins.

• All payments processed securely through Stripe

• Challenge fees are non-refundable once evaluation begins

• 30-day money-back guarantee for technical issues

Refund Policy:

Challenge fees are refundable within 30 days if technical issues prevent proper evaluation. Contact support for refund requests.

Funded Account Responsibilities:

8. Intellectual Property Rights

The Services and their original content, features, and functionality are and will remain the exclusive property of Waterfall Trading Ltd and its licensors. The Services are protected by copyright, trademark, and other laws.

Our Intellectual Property Includes:

• The WaterfallTrader platform and its proprietary technology

• Waterfall Markets branding, logos, and trademarks

• Website design, layout, and user interface elements

• Educational content, trading strategies, and market analysis

• Software code, algorithms, and trading tools

• Databases, data compilations, and proprietary methodologies

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes. This license does not include any right to:

• Reproduce, distribute, or create derivative works of our content

• Reverse engineer, decompile, or disassemble our software

• Use our trademarks or branding without explicit permission

• Scrape, copy, or harvest data from our platform

• Create competing products or services using our technology

Any unauthorized use of our intellectual property may result in immediate account termination and legal action.

9. User Conduct and Content

You agree to use our Services responsibly and in compliance with applicable laws and regulations. Your conduct while using our Services must not violate these Terms of Service or harm our platform, other users, or third parties.

Permitted Use:

Prohibited Conduct:

• Violating any applicable laws or regulations

• Harassing, threatening, or abusing other users

• Attempting to gain unauthorized access to our systems

• Distributing malware, viruses, or harmful code

• Manipulating trading results or falsifying performance data

• Using automated tools or bots without authorization

• Engaging in market manipulation or coordinated trading

• Sharing login credentials or account access

User-Generated Content:

By posting content on our platform (including forum posts, strategy discussions, or performance shares), you grant Waterfall Markets a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content worldwide.

You represent and warrant that you own or control all rights to the content you post and that such content does not violate the rights of any third party or applicable laws.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WATERFALL MARKETS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF OUR SERVICES OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN.

We Specifically Disclaim:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement

• Warranties regarding the accuracy, reliability, or completeness of any information provided

• Warranties that our Services will be uninterrupted, error-free, or secure

• Warranties regarding trading results, profitability, or market performance

• Warranties that our platform will meet your specific trading needs or expectations

We do not guarantee that our Services will be available at all times or that they will function without interruptions, delays, or errors. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice.

Waterfall Markets does not provide investment advice, financial planning, or trading recommendations. All trading decisions are made at your own risk.

11. Indemnification

You agree to defend, indemnify, and hold harmless Waterfall Markets, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or inability to use our Services

• Your violation of these Terms of Service

• Your violation of any rights of another party

• Your violation of any applicable laws or regulations

• Any content you submit or post on our platform

• Your trading activities and their consequences

• Any unauthorized access to your account

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

This indemnification obligation will survive the termination of this Agreement and your use of our Services.

12. Dispute Resolution and Arbitration

Any disputes arising out of or relating to these Terms of Service or your use of our Services will be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA).

Arbitration Process:

• Arbitration will be conducted in London, England

• The arbitration will be conducted in English

• The arbitrator's decision will be final and binding

• Each party will bear its own costs and expenses

• The prevailing party may be entitled to recover reasonable attorneys' fees

Class Action Waiver:

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive your right to file a class action or seek relief on a class basis.

• Pandemics or public health emergencies

During any force majeure event, we may suspend or modify our Services without liability. We will make reasonable efforts to resume normal operations as soon as practicable.

20. Account Termination

• Violation of applicable laws or regulations

• Prolonged account inactivity

• Suspicion of account compromise or unauthorized access

• Material changes in your trading jurisdiction or eligibility

Termination Process:

• Immediate suspension may occur for serious violations

• Written notice will be provided when possible

• Outstanding profits will be processed according to our payout terms

• Account data will be retained as required by law

• Appeal process available for disputed terminations

You may terminate your account at any time by contacting our support team. Termination does not relieve you of obligations incurred prior to termination.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WATERFALL MARKETS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claim arising out of or relating to these Terms of Service or our Services shall not exceed the greater of: (a) the amount paid by you to us in the 12 months preceding the claim, or (b) £500.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

This governing law provision applies to all claims, disputes, or matters arising from or related to your use of our Services, regardless of where you are located.

If you are located outside England and Wales, you agree that any disputes will be resolved in accordance with English law and jurisdiction.
